August Jaeger Terms of Business for Advisory Engagements

These Terms of Business apply to advisory and coaching services provided by August Jaeger.

1. Scope of Engagement

August Jaeger provides bespoke advisory and coaching engagements focused on areas such as positioning, strategic clarity, next-chapter definition, narrative development, route selection, and related executive advisory support.

The exact scope of each engagement, including the number of sessions, duration, deliverables, fees, and any specific inclusions or exclusions will be set out in the relevant written proposal, engagement confirmation, or invoice.

Engagements may be structured as either a fixed-scope engagement, with a defined number of sessions and agreed fee; or a rolling advisory engagement, where support is provided on an ongoing basis until ended in accordance with these terms or the relevant proposal.

Where an engagement includes access between sessions by WhatsApp or email, this is intended for reasonable advisory support connected to the engagement and does not constitute an unlimited on-demand service.

Unless explicitly stated in writing, engagements do not include job search execution, recruiter outreach, recruiter management, direct application handling, negotiation support, legal advice, tax advice, or any regulated financial advice.

August Jaeger may from time to time offer additional tools, frameworks, research support or advisory modules. Any such additional services will only be included where expressly confirmed in writing.

2. Proposal and Order of Precedence

The written proposal, engagement confirmation, or invoice sets out the specific services purchased by the client. These Terms of Business apply alongside that proposal, engagement confirmation, or invoice. If there is any inconsistency between these Terms of Business and the written proposal, engagement confirmation, or invoice, the proposal, engagement confirmation, or invoice will take precedence in relation to the specific scope, fees, duration, and deliverables of the engagement.

3. Fees and Payment

Fees are as set out in the relevant proposal, engagement confirmation, or invoice. Payment terms will be as stated in the invoice or otherwise agreed in writing. August Jaeger reserves the right not to commence work until the engagement has been accepted and any required initial payment has been received. Late payment may result in sessions being postponed or services being suspended until payment is received.

Unless otherwise stated in writing, all fees are stated inclusive of VAT only where expressly specified.

4. Sessions, Scheduling and Rescheduling

Sessions will be scheduled by mutual agreement and may be rescheduled with at least 48 hours’ notice. Where less than 48 hours’ notice is given, August Jaeger reserves the right to treat the session as used.

If August Jaeger needs to reschedule a session, a replacement time will be offered as soon as reasonably practicable.

The client is responsible for attending sessions on time and making themselves reasonably available for the agreed work.

5. Fixed-Scope Engagements

For fixed-scope engagements, the agreed fee applies to the engagement described in the relevant proposal or confirmation.

Once a fixed-scope engagement has commenced, fees paid are non-refundable except where August Jaeger agrees otherwise in writing.

If a client chooses not to use all included sessions within the agreed engagement period, unused sessions will lapse unless otherwise agreed in writing.

If the client cancels a fixed-scope engagement after commencement, any unpaid sums due for the agreed engagement remain payable unless otherwise agreed in writing.

6. Rolling Advisory Engagements

Where the engagement is expressly agreed as a rolling advisory engagement, fees will be charged on the basis set out in the relevant proposal, confirmation, or invoice.

Either party may pause or terminate a rolling advisory engagement by giving 30 days’ written notice, unless a different notice period is specified in writing. Fees already invoiced for the applicable notice period remain payable.

7. Client Responsibilities

The client agrees to participate actively in the engagement, attend scheduled sessions, complete agreed actions where relevant, and communicate openly and honestly.

Outcomes depend in part on the client’s engagement, decision-making, and application of the advice and frameworks provided, as well as external market factors outside August Jaeger’s control.

No particular employment, commercial, or business outcome is guaranteed.

8. Confidentiality

August Jaeger will keep client information confidential and will not disclose it to third parties except where required by law, where necessary for professional advisers bound by confidentiality obligations or where the client has given permission.

The client agrees to keep confidential any proprietary frameworks, materials, methods, and internal tools shared during the engagement, and not to distribute or reproduce them without prior written consent.

9. Intellectual Property

All materials, templates, frameworks, methodologies, and other content provided by August Jaeger remain the intellectual property of August Jaeger unless expressly agreed otherwise in writing. The client is granted a personal, non-transferable right to use those materials for their own internal and personal professional use only.

The client may not copy, distribute, publish, license, sell, or otherwise share such materials without prior written consent.

10. Nature of Services

August Jaeger provides advisory and coaching services only. August Jaeger does not act as a recruiter, employer, legal adviser, tax adviser, or regulated financial adviser.

Any decisions taken by the client in relation to career, business, employment, consultancy, investments, legal matters, or commercial arrangements remain the client’s sole responsibility.

11. Limitation of Liability

To the fullest extent permitted by law, August Jaeger’s total liability arising out of or in connection with the engagement shall be limited to the total fees paid by the client for the relevant engagement.

August Jaeger shall not be liable for any indirect or consequential loss, including loss of opportunity, loss of income, loss of profit, or reputational loss.

Nothing in these terms excludes liability for fraud, fraudulent misrepresentation, or any other liability which cannot lawfully be excluded.

12. Governing Law

These Terms of Business and any dispute or claim arising out of or in connection with them shall be governed by the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction over any such dispute or claim.
